Axinn Secures Antitrust Clearance for McKesson’s Transaction with Change Healthcare to Form $3.4 Billion New Health Care Information Technology Company

Axinn was antitrust counsel to McKesson Corporation, a leading global health care services and information technology company, in a transaction with Change Healthcare Holdings, Inc., a leading provider of software and analytics, network solutions and technology-enabled services, to create a new health care information technology company. The deal will combine substantially all of Change Healthcare’s business and the majority of McKesson Technology Solutions into a new company with $3.4 billion in pro forma combined total annual revenues for the fiscal year ended March 31, 2016.
The Axinn team secured unconditional antitrust clearance for the transaction after successfully navigating a more than six-month investigation by the Department of Justice, including a Second Request.
